4. Seller Fees and Commission

4.1 Commission Structure

LeoSwap charges a commission on each sale to maintain and improve the platform. The current commission rate is clearly displayed when you create a listing. This fee is automatically deducted from the sale price before funds are transferred to your Stripe account.

4.2 Payment Processing Fees

In addition to LeoSwap's commission, Stripe charges payment processing fees (typically 2.9% + $0.30 per transaction for US cards). These fees are also deducted before payout. The exact fees depend on your location and the payment method used by the buyer.

4.3 Fee Changes

We reserve the right to modify our commission structure with 30 days' notice. Changes will not affect existing active listings but will apply to new listings created after the effective date.

5. Listing Requirements

5.1 Accurate Descriptions

You must provide accurate and complete information in your listings, including:

Brand and manufacturer
Size (using standard sizing charts when possible)
Condition (New with Tags, Like New, Excellent, Good, or Fair)
Any defects, stains, wear, or alterations
Colors and patterns
Material composition (if known)

5.2 Photos

Listings must include clear, well-lit photos that accurately represent the item. You must:

Upload photos of the actual item (not stock photos)
Show the item from multiple angles
Clearly photograph any flaws or defects
Use photos that you own or have permission to use

5.3 Pricing

You set the price for your items. Prices must be in US dollars and should be reasonable based on the item's condition, brand, and market value. You are responsible for any applicable sales tax based on your location and tax obligations.

6. Seller Responsibilities

6.1 Order Fulfillment

When an item sells, you must:

Ship the item within 3 business days of purchase (unless otherwise stated)
Package items securely to prevent damage during shipping
Use the shipping method and service level agreed upon at checkout
Provide accurate tracking information when available
Communicate promptly with buyers regarding any delays or issues

6.2 Customer Service

You agree to:

Respond to buyer inquiries within 24 hours
Handle returns and disputes professionally and in accordance with your stated policies
Provide excellent customer service to maintain the LeoSwap community standards

6.3 Compliance

As a seller, you are responsible for:

Complying with all applicable laws, including tax obligations
Obtaining any necessary business licenses or permits
Ensuring you have the legal right to sell all items you list
Not selling prohibited or counterfeit items

7. Returns and Refunds

Sellers may set their own return policies, which should be clearly stated in listings. However, if an item is significantly not as described or defective, you may be required to accept a return and issue a refund, regardless of your stated policy.

In case of disputes, LeoSwap may mediate and make final decisions regarding refunds. If a refund is issued, the amount will be deducted from your future sales or, if necessary, charged to your connected Stripe account.

8. Prohibited Activities

As a seller, you may not:

List counterfeit, replica, or knockoff items
Sell items that violate intellectual property rights
Manipulate prices or engage in fraudulent transactions
Create multiple accounts to circumvent fees or restrictions
Contact buyers outside of LeoSwap to complete transactions
List items that are prohibited by our Terms of Use
Use misleading photos or descriptions
Fail to deliver items after receiving payment

9. Seller Performance and Account Standing

LeoSwap monitors seller performance through metrics such as response time, shipping speed, item accuracy, and customer satisfaction. Sellers who consistently provide excellent service may receive benefits such as featured listings or reduced fees.

Sellers who fail to meet performance standards or violate these terms may face consequences including:

Warning notifications
Temporary suspension of selling privileges
Permanent account termination
Withholding of funds pending resolution of disputes

10. Tax Reporting

As a seller, you are responsible for reporting and paying any applicable taxes on your sales. Stripe will provide you with tax documentation (such as Form 1099-K in the United States) when you meet certain thresholds. You should consult with a tax professional regarding your specific obligations.

LeoSwap may be required to collect and remit sales tax on behalf of sellers in certain jurisdictions. When this applies, sales tax will be added to the buyer's total at checkout and remitted by LeoSwap.

11. Intellectual Property

By creating listings on LeoSwap, you represent and warrant that you own or have the necessary rights to all content you post, including photos and descriptions. You grant LeoSwap a non-exclusive, worldwide, royalty-free license to use, display, and distribute your listing content for the purpose of operating and promoting the Service.

12. Limitation of Liability

LeoSwap provides a platform connecting buyers and sellers but is not a party to the actual transaction between users. We are not responsible for:

The quality, safety, or legality of items listed
The accuracy of listings or user-generated content
The ability of sellers to complete sales or buyers to complete purchases
Shipping delays, lost packages, or delivery issues
Disputes between buyers and sellers

13. Changes to Seller Terms

We may update these Seller Terms from time to time. We will notify active sellers of material changes via email and through the platform. Your continued selling activity after changes become effective constitutes acceptance of the updated terms.

Important Stripe Disclosure

Your use of LeoSwap's seller services requires you to create or connect a Stripe account. By registering as a seller, you acknowledge that:

Stripe will process all payments on behalf of LeoSwap
You agree to be bound by the Stripe Connected Account Agreement and Stripe Services Agreement
Your personal and financial information will be shared with Stripe for payment processing purposes
LeoSwap is not responsible for Stripe's actions or policies
